Good to know
- A written resolution must be signed by ALL shareholders entitled to vote (OBCA s. 104). One missing signature means it isn't valid.
- Waiving the auditor under OBCA s. 148 needs the written consent of ALL shareholders, including those with non-voting shares, and is redone every year.
- Your accountant can still prepare a 'compilation' (Notice to Reader) when the audit is waived; the CRA accepts it for the T2.
