Good to know
- Courts enforce a non-compete only if the time, area and activity are reasonable (Shafron v. KRG, 2009 SCC). A court will not rewrite a clause that goes too far; it just throws it out, so keep it narrow.
- In a business sale, courts are more willing to enforce the seller's promise because the buyer paid for the goodwill (Payette v. Guay, 2013 SCC).
- For ordinary employees, use our Non-Solicitation Agreement and NDA instead. They protect customers and secrets and are allowed in Ontario.
