What you will fill in
- Does any of these apply?
- Your full legal name (the deponent)
- Your city or town
- Name of the corporation that issued the shares
- Where is the corporation incorporated?
- Certificate number, number and class of shares
- How and when it was lost
- Has the corporation asked for an indemnity (surety) bond?
- City where you will swear it
- Date you will swear it
Good to know
- Tell the corporation in writing as soon as you notice the loss. If you wait too long and the shares are transferred to an innocent buyer, you can lose your claim.
- For an Ontario corporation the replacement rules are in Ontario's Securities Transfer Act, 2006; for a federal one, the Canada Business Corporations Act. Both let the corporation ask for an indemnity bond.
- After the new certificate is issued, the corporation should mark the old number cancelled in its securities register.
Help in your language
Every question comes with help like this. For example, “Does any of these apply?”:
English: If one applies, have a lawyer check it before you swear. Shares held by a broker are usually replaced through the broker or the transfer agent, who may require a surety bond.
