What you will fill in
- Who gives the promise (the indemnitor)?
- Who is protected (the indemnitee)?
- What activity or deal does this cover?
- How wide is the promise?
- Is either party an individual consumer (not a business)?
- Days to give notice of a claim
- Which province's laws apply?
- Date of this agreement
Good to know
- Courts read an indemnity strictly and against the party who wrote it. Clear, specific wording is what makes it work.
- An indemnity is only as good as the money behind it. Ask for a certificate of insurance that names you as an additional insured.
- With consumers, an indemnity cannot take away rights under consumer protection law (in Ontario, the Consumer Protection Act, 2002).
