What you will fill in
- Consignor (owner of the goods)
- Consignee (the store or seller)
- Goods consigned
- Total value of the goods ($)
- Minimum selling prices
- Store's commission (% of the sale price)
- How many days may the store keep the goods?
- Days after each sale (or month-end) to pay the owner
- Who insures the goods while at the store?
- What happens to unsold goods at the end?
- Will the owner register a PPSA financing statement?
- Which province's laws apply?
Good to know
- Ontario Personal Property Security Act: a consignment that works like security is covered, and courts look at the substance of the deal. To be safe, consignors commonly register a financing statement (and, where needed, give notice to the store's secured lenders) before delivering goods. In BC, Alberta and other western provinces the PPSA covers commercial consignments directly.
- Count the goods together at delivery and sign the list. Take photos.
- The store charges HST on each sale. If the owner is HST-registered, sort out with an accountant who reports the tax.
